Blackline Announces Closing of Bought Deal Financing and Concurrent Private Placement

Blackline Safety Corp. ("Blackline" or the "Company") (TSX: BLN) a global leader in connected safety, is pleased to announce the closing of its previously announced bought deal short-form prospectus offering (the “Offering”) of common shares of the Company (“Common Shares”). The Offering was conducted through a syndicate of underwriters led by ATB Capital Markets Inc., Canaccord Genuity Corp., National Bank Financial Inc., TD Securities Inc., Raymond James Ltd., Echelon Wealth Partners Inc., Beacon Securities Limited, Peters & Co. Limited and Lightyear Capital Inc. (collectively, the "Underwriters"). In connection with the Offering, the Company issued a total of 5,405,885 Common Shares at an issue price of $2.20 per Common Share for aggregate gross proceeds of $11,892,947, which included 625,885 Common Shares issued pursuant to the exercise of the over-allotment option granted to the Underwriters in connection with the Offering.

Concurrent with closing of the Offering, the Company also completed a non-brokered private placement (the "Private Placement") of 5,909,091 Common Shares at a price of $2.20 per Common Share for gross proceeds of $13 million to DAK Capital Inc ("DAK"), Cody Slater, the Chief Executive Officer and Chair of the Company and an entity owned and controlled by Brad Gilewich, a director of the Company.

As a result of the completion of the Offering and Private Placement, the Company has raised aggregate gross proceeds of $24,892,947, which amounts will be used to fund the Company's general and administrative, sales and marketing and research and development expenses as well as for general corporate purposes.

After giving effect to the Common Shares acquired by DAK pursuant to the Private Placement, DAK currently beneficially owns, or exercises control or direction over, 18,353,309 Common Shares or approximately 25.74% of the issued and outstanding Common Shares (on a non-diluted basis) after giving effect to the issuance of the Common Shares pursuant to the Offering and the Private Placement.
