     On February 7, 2008, VistaCare, Inc. (the “Company”) issued a press release in response to a letter from one of its shareholders, Accipiter Capital Management, regarding the pending tender offer by Odyssey HealthCare, Inc. to acquire all of the outstanding shares of class A common stock of the Company for $8.60 per share. A copy of the press release is furnished as Exhibit 99.1 to this Report.
