ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
     On April 5, 2006, A. Schulman, Inc. (the “Company”) announced earnings for the Company’s second quarter ended February 28, 2006. A copy of the press release announcing these results is attached as Exhibit 99.1 hereto and incorporated by reference herein.
     Pursuant to General Instruction B.2 of Current Report on Form 8-K, the information in this Item 2.02 is being furnished and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liability of that section. Furthermore, the information in this Item 2.02 shall not be deemed to be incorporated by reference into the filings of the Company under the Securities Act of 1933, as amended.
ITEM 7.01 REGULATION FD DISCLOSURE
     On April 5, 2006, the Company’s Board of Directors declared a regular cash dividend of $0.145 per common share, payable May 3, 2006, to shareholders of record on April 21, 2006. A copy of the press release announcing this dividend is attached as Exhibit 99.2 hereto and incorporated by reference herein.
