Item 7.01 Regulation FD Disclosure
On December 1, 2004, R&G Financial Corporation announced by press release the successful completion of its $125,000,000 trust preferred securities offering to the Puerto Rico Conservation Trust Fund, a Puerto Rico charitable trust on November 30, 2004.
