ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
Underwriting Agreement
     On February 9, 2009, we entered into an underwriting agreement with Banc of America Securities LLC and J.P. Morgan Securities Inc., as representatives of the several underwriters, pursuant to which we agreed to sell, and the underwriters agreed to buy, $350,000,000 principal amount of 4.375% Notes due 2014. The transaction is scheduled to close on February 12, 2009. We estimate that the net proceeds to our company, after deducting the underwriting discount and estimated offering expenses, will be approximately $345,391,500. We expect to use the net proceeds to repay commercial paper issued by us with a weighted average maturity of less than 30 days and an average interest rate of 0.3% per year, and for other general corporate purposes.
     The underwriting agreement contains terms and conditions that are customary for transactions of this nature. The underwriting agreement, which appears as Exhibit 1.1 to this report, is incorporated by reference in response to this Item 1.01. The form of 4.375% Note due 2014 to be issued in connection with the above-described underwriting, which appears as Exhibit 4.1 to this report, is incorporated by reference in response to this Item 1.01.
