(the "Company") approved the following actions with regard to the compensation of the executive officers who will be named in the Summary Compensation Table of the Company's 2005 Proxy Statement (the "Named Executive Officers"): AMENDMENT TO THE BELDEN CDT INC. ANNUAL CASH INCENTIVE PLAN The Compensation Committee approved certain changes to the Belden CDT Inc. Annual Cash Incentive Plan. A summary of such plan, as revised, is attached as Exhibit 10.1 hereto and is hereby incorporated by reference. GRANT OF STOCK OPTIONS The Compensation Committee approved the grant of the following stock options on March 30, 2005 to the Named Executive Officers under the Belden Inc. 2003 Long-Term Incentive Plan (the "Stock Plan"): C. Baker Cunningham - 120,000 options; Richard K. Reece - 23,000 options; Robert W. Matz - 23,000 options; D. Larrie Rose - 23,000 options; and Kevin L. Bloomfield - 20,000 options. The options were issued with an exercise price equal to the average of the high and low price of Belden CDT Inc. stock on March 30, 2005 ($22.66). The exercise of one-third of the shares is permitted on the first, second and third anniversaries of the grant date. The options expire ten years after the grant date. The options were granted pursuant to the terms of the Stock Plan. The Stock Plan is included as Exhibit 10.2 to this Report and is hereby incorporated by reference.
