On
July 18, 2007, the Company announced that it had terminated the employment of William G. Atkinson, the
Company’s former Executive Vice President, Payment Systems, effective immediately for soliciting
VeriFone employees to join a competitor in violation of specific provisions of Mr. Atkinson’s
Executive Stock Agreement with the Company, as well as the Company’s Code of Business Conduct and
Ethics. Douglas G. Bergeron, Chairman and Chief Executive Officer of
the Company, will oversee Mr.
Atkinson’s reporting responsibilities.
