(d) | On April 8, 2011, Bradley A. Keywell was appointed as a Trustee of Equity Residential (the Company). In connection with Mr. Keywells appointment, the size of the Companys Board of Trustees was increased from 9 to 10. Mr. Keywell was also appointed to serve on the Compensation Committee effective as of such date. The Company has determined that Mr. Keywell is independent of the Company and its management within the meaning of the New York Stock Exchange listing standards. | |
As a non-employee Trustee, Mr. Keywell will receive the same compensation as other non-employee trustees, which is described in the section entitled Trustee Compensation in the Companys Proxy Statement filed with the Securities and Exchange Commission (the SEC) on April 15, 2010. The Company entered into an Indemnification Agreement with Mr. Keywell in the same form that the Company has entered into with its other trustees and executive officers. The form of the Indemnification Agreement was filed as Exhibit 10.18 to the Companys Form 10-K for the year ended December 31, 2003, filed with the SEC on March 12, 2004. |
