Item 5.07 Submission of Matters to a Vote of Security Holders.
The annual meeting of stockholders of The TJX Companies, Inc. (the Company) was held on June 2,
2010. The stockholders elected each of the Companys nominees for director, ratified the
appointment of PricewaterhouseCoopers LLP as the Companys independent registered accounting firm
for the fiscal year 2011 and approved a stockholder proposal for an advisory vote on executive
compensation. The proposals below are described in detail in the Companys definitive proxy
statement dated April 28, 2010.
