Item 2.02.  Results of Operations and Financial Condition.

     The information in this Current Report is being furnished and shall not be deemed “filed” for the purposes of Section 18 of the Securities and Exchange Act of 1934, as amended.

     On November 29, 2007, lululemon athletica inc. (the “Company”) issued a press release announcing its financial results for the third fiscal quarter ended October 31, 2007 and certain other information. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. As previously announced, the Company has scheduled a conference call for 9:00 a.m. EST on November 29, 2007 to discuss its financial results.
