Item 5.04 Temporary Suspension of Trading Under Registrant’s Employee Benefit Plans.

As required by Section 306 of the Sarbanes-Oxley Act and Section 245.104 of the Securities and Exchange Commission’s Regulation BTR, First Albany Companies Inc. sent a notice to its executive officers and directors notifying them of a blackout with respect to the First Albany Capital Employees’ Retirement and Savings Plan. The blackout period is expected to begin December 22, 2006 and end on or before December 29, 2006. A copy of the notice is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
