ITEM 8.01. OTHER EVENTS
On
November 23, 2005,
Blue Niles Chairman and Chief Executive Officer, Mark Vadon, and its Chief
Financial Officer, Diane Irvine, each adopted a pre-arranged trading plan in
accordance with Rule 10b5-1 under the Securities and Exchange Act of 1934, as
amended. The shares which may be sold pursuant to each of these two plans represent
approximately 10% or less of such officers beneficially owned holdings of Blue
Niles
securities and each will terminate on or before November 22, 2006. Certain other of
Blue Niles officers and directors have adopted or may adopt
10b5-1 plans in which they
will contract with a broker to exercise and sell options or sell shares on a periodic
basis. The transactions under these plans will be disclosed publicly
through Form 4
and Form 144 filings with the Securities and Exchange Commission.
