Item 5.02
Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers.



On September
5, 2006, the Company appointed Mr. Thomas J. Kanuk (age 54) to serve as its Vice
President, Corporate Controller and Chief Accounting Officer. Mr.  Kanuk
will serve as the Company's principal
accounting officer. Mr. Kanuk replaces Mr. Michel S. Vermette who has taken a
new position as the chief financial officer of the Company's Flooring division. Mr. Kanuk formerly served as the Corporate Controller and Chief
Accounting Officer of Dresser, Inc., from 2002 to 2006. From 1998 to 2002, Mr. Kanuk
served as the Corporate Controller for Dal-Tile International Inc. (now one of
the Company's principal operating subsidiaries).
