11. Item 9 Other Events
Smart Communications, Inc. (Smart), a subsidiary of Philippine Long Distance Telephone Company, today disclosed that it has acquired an additional 9% of Meridian Telekoms, Inc. ("MTI"), bringing its aggregate ownership in MTI to 49%. MTI had received on December 13, 2004, approval from the National Telecommunications Commission allowing MTI to transfer more than 40% of its capital stock. Smart had earlier disclosed that it had entered into an agreement to acquire 40% of MTI (said transaction was closed on December 1, 2004) and, subject to certain approvals, up to 100% before the end of 2005.
