Item 1.01: Entry into a Material Definitive Agreement On March 14, 2007, the shareholders of Applied Signal Technology, Inc. (“Applied Signal” or the “Company”), approved an amendment to the Company’s 1993 Employee Stock Purchase Plan (the “Purchase Plan”) to increase by 600,000 the maximum number of shares of Common Stock that may be issued under the Purchase Plan. The Company’s shareholders have previously approved the reservation of 4,300,000 shares of the Company’s Common Stock (subject to adjustment upon certain changes in the capital structure of the Company) for issuance to employees under the Purchase Plan. |
