Item 5.02 - Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
 
Effective April 20, 2006, Gregory W. Penske resigned as a director of Alltel Corporation (“Alltel”).

On April 20, 2006, Alltel’s Board of Directors elected Peter A. Bridgman to fill the vacancy created by the resignation of Mr. Penske. Mr. Bridgman’s term will expire at the 2008 Annual Meeting of Stockholders. Mr. Bridgman also was appointed as Chairman of the Audit Committee and a member of the Compensation Committee. Mr. Bridgman was not elected pursuant to any arrangement or understanding between him and any other persons. A copy of Alltel’s April 20, 2006, news release announcing the election of Mr. Bridgman is attached hereto as Exhibit 99.1.
