Item
8.01. Other Events.
On
December 30, 2009, Trustmark Corporation (the "Company") repurchased in full
from the United States Department of the Treasury (the "Treasury") the 10-year
warrant to purchase 1,647,931 shares of the Company’s common stock at an
exercise price of $19.57 per share (the "Warrant"), which was originally
issued to the Treasury on November 21, 2008 pursuant to the TARP Capital
Purchase Program. The price paid by the Company to the
Treasury to repurchase the Warrant was
$10,000,000.
