(1) Pursuant to a Share Purchase Agreement dated November 24, 2014 between Telkoor Power Suppliers Ltd. ("Telkoor Power Suppliers") and its indirect parent company Telkoor Telecom Ltd. ("Telkoor Telecom"), pursuant to which Telkoor Telecom sold and transferred 1,300,000 shares of Common Stock to Telkoor Power Suppliers.
