(b)           On February 27, 2012, the board of directors of Issuer Direct Corporation (the “Company”) accepted the resignation letter from Ms. Lori Jones as director effective immediately. The resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
