Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers
Ms. Randazzo will be resigning as Chief Executive Officer and Chief Financial Officer of the Company effective June 30, 2014. Ms. Randazzo has accepted the role of Chief Financial Officer of Hillbrook School, an independent accredited coeducational school in Los Gatos, California, effective July 1, 2014. The Board of Directors of the Company is currently conducting a search for a successor Chief Executive Officer and Chief Financial Officer. Ms. Randazzo will remain at the Company to provide transitional assistance through the end of June 2014 and will remain on the Board of Directors. Andalay Solar is grateful for Ms. Randazzo’s contributions to the company over the past five years.
