Item 2.02     Results of Operations and Financial Condition.

On August 6, 2008, Brookdale Senior Living Inc. (the “Company”) issued a press release announcing its second quarter 2008 financial results. The press release included a table detailing the Company’s capital expenditures for the three and six months ended June 30, 2008 and 2007.  The column in that table regarding the Company’s capital expenditures for the six months ended June 30, 2008 contained a mathematical error. A corrected version of the capital expenditures table is furnished herewith as Exhibit 99.
