Item 7.01 Regulation FD Disclosure.

On September 15, 2014, we issued a press release announcing that we have entered into an agreement to acquire MTU Detroit Diesel Australia Pty Ltd., a distributor of diesel and gas engines and power systems operating across the on-and off-highway markets in Australia, New Zealand and the Pacific. The transaction is subject to customary closing deliveries and is expected to be completed in the fourth quarter. A copy of the press release is furnished as Exhibit 99.1 and is incorporated herein by reference.

We purchase motor vehicles and parts from Daimler AG and Rolls-Royce Motorcars, affiliates of the sellers, for sale or distribution. Additionally, affiliates of Daimler AG also provide us with "floor-plan" financing and consumer and other financing.
