Item 8.01 Other Events.
Corinthian Colleges, Inc. (the "Company") has received a copy of a complaint in a purported class action lawsuit naming the Company and several executive officers as defendants. The complaint, which was filed in the U.S. District Court for the Central District of California, alleges that the Company and the other defendants made false and misleading statements and failed to disclose material adverse facts about the Company’s business and prospects in violation of federal securities laws. The plaintiff seeks damages for the purported class. The complaint was filed on August 31, 2010 and is captioned, Jimmy Elias Karam v. Corinthian Colleges, Inc., Jack P. Massimino, Peter C. Waller, Matthew A. Ouimet and Kenneth S. Ord. Based on its initial review of the complaint, the Company believes the lawsuit is without merit and intends to vigorously defend against it.
Additionally, on July 26, 2010, the Department of Education ("ED") issued a Notice of Proposed Rulemaking (the "NPRM") entitled "Program Integrity: Gainful Employment." On September 8, 2010, the Company filed its comments to the NPRM with ED, which comments can be found on the Company’s website at www.cci.edu under the heading "Investor Relations / Current Issues and Reports."
