Item 8.01 Other Events.

P. H. Glatfelter Company (the "Company") previously reported that its March 2006 acquisition of the Lydney mill of J R Crompton Ltd. was the subject of a review by the European Commission (the "EC"). On December 20, 2006, the Company issued a press release to report that the EC had granted unconditional anti-trust approval of the Lydney mill acquisition. The press release issued by the Company is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
