Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On August 8, 2005, Cooper Tire & Rubber Company's board of directors accepted the resignation of Dennis J. Gormley as a Director, effective November 1, 2005. Mr. Gormley's resignation is due to his recent status as an investor and CEO of Lehigh Technologies, LLC, a start-up company that plans to begin production of rubber powder from scrap rubber in 2006. This new company will seek business from Cooper Tire & Rubber Company as well as competitors and represents a possible future conflict of interest for Mr. Gormley.
