Item 8.01. Other Events.
The Rouse Company ("Rouse") issued a press release today announcing that General Growth Properties, Inc. ("GGP") and Rouse today filed an action in Delaware Chancery Court seeking a declaratory judgment that the merger of Rouse and a subsidiary of GGP is not a prohibited transaction under the Rouse Contingent Stock Agreement. For further information, reference is made to Rouses press release, a copy of which is filed as Exhibit 99.1, and which is incorporated by reference.
