Item 1.01 Entry into a Material Definitive Agreement.

On December 23, 2005, the Registrant received an executed Amendment No. 3 to the Contract for Furnishing Health Services by a Managed Care Organization by and between Harmony Health Plan of Illinois, Inc., a wholly-owned subsidiary of the Registrant (“Harmony”), and the Illinois Department of Healthcare and Family Services. Among other things, the amendment implements certain rate changes effective August 1, 2005. A copy of the amendment is attached as Exhibit 10.1 to this Current Report on Form 8-K.

Also on December 23, 2005, the Registrant received executed Amendment No. 10 to the AHCA Contract between the State of Florida, Agency for Health Care Administration and Well Care HMO, Inc., d/b/a/ StayWell Health Plan of Florida, a wholly-owned subsidiary of the Registrant, and Amendment No. 9 to the AHCA Contract between the State of Florida, Agency for Health Care Administration and HealthEase of Florida, Inc., a wholly-owned subsidiary of the Registrant. The amendments, among other things, increase the authorized spending limits and enrollment levels under the contracts, effective July 1, 2005. Copies of these amendments are attached as Exhibits 10.2 and 10.3, respectively, to this Current Report on Form 8-K.

In the interest of providing interested parties with full access to its federal, state and county contracts, the Registrant has elected to file such contracts with the Securities and Exchange Commission. The Registrant does not believe that its business is substantially dependent on many of these contracts when each is taken individually.
