The following information is being furnished pursuant to both Item 5.02 and Item 7.01.
 
Martin Wade, Chief Executive Officer of IMSI, has taken over the role of President of IMSI. Pursuant to existing arrangements, Gordon Landies ceased to serve as President and officer of the company on February 28, 2006. The full text of the press release issued in connection with the announcement is attached as Exhibit 99.1 to this Current Report on Form 8-K.
