Item 1.01 Entry into a Material Definitive Agreement
Amendment to Revolving Credit Facility
On September 28, 2017, Jacobs Engineering Group Inc., a Delaware corporation (the Company or Jacobs), entered into a Second Amendment to Amended and Restated Credit Agreement (the Amendment) among the Company, the designated borrowers specified therein, the lenders party thereto and Bank of America, N.A., as administrative agent, which Amendment amends the Amended and Restated Credit Agreement dated as of February 7, 2014.
The Amendment provides for, among other things, an amendment to certain financial definitions used in the Amended and Restated Credit Agreement. The amendments are effective upon the consummation of the merger (the Merger) of a wholly-owned subsidiary of the Company with and into CH2M HILL Companies, Ltd. (CH2M), as previously disclosed in the Companys Current Report on Form 8-K dated August 2, 2017.

The Amended and Restated Credit Agreement has been previously filed with, and is described in, the Companys Current Reports on Form 8-K dated February 11, 2014 and March 4, 2015.
Term Loan Facility
On September 28, 2017, the Company entered into a $1,500,000,000 unsecured delayed-draw term loan facility (the New Credit Facility) with a syndicate of financial institutions as lenders and letter of credit issuers and BNP Paribas as administrative agent, TD Bank, N.A. and U.S. Bank National Association as co-documentation agent, BNP Paribas Securities Corp., The Bank of Nova Scotia and Wells Fargo Securities, LLC as joint book runners, and as joint arrangers.
Subject to certain terms and conditions set forth therein, loans under the New Credit Facility may be incurred on the day the Merger is consummated in order to pay cash consideration for the Merger, and to pay fees and expenses related to the Merger and the New Credit Facility.
The New Credit Facility has a three year maturity from the date of initial funding and permits the Company to borrow in U.S. dollars at a base rate or a eurocurrency rate. Depending on the Companys consolidated leverage ratio, borrowings under the New Credit Facility will bear interest at either a eurocurrency rate plus a margin of between 1.00% and 1.50% or a base rate plus a margin of between 0.00% and 0.50%. In addition, prior to the date the Merger is consummated, the Company must pay a ticking fee of between 0.10% and 0.25% of unused commitments under the New Credit Facility.
The New Credit Facility contains affirmative, negative and financial covenants customary for financings of this type, including, among other things, limitations on certain other indebtedness, investments, liens, mergers, asset sales and transactions with affiliates. In addition, the New Credit Facility contains customary events of default.
