(1) This registration statement shall also cover an indeterminate number of shares that may be necessary to adjust the number of shares reserved for issuance pursuant to the 2011 Equity Incentive Award Plan (“2011 EIP”), the 2011 Employee Stock Purchase Plan (“2011 ESPP”) and the 2002 Stock Option/Stock Issuance Plan (“2002 Plan”) by reason of any stock split, stock dividend or similar adjustment effected without the Registrant’s receipt of consideration that results in an increase in the number of the Registrant’s outstanding shares of common stock.

(3) Estimated solely for the purpose of calculating the amount of the registration fee pursuant to Rule 457(h) and Rule 457(c) of the Securities Act of 1933. The proposed maximum aggregate offering price per share and proposed maximum aggregate offering price for the 13,254,710 shares of Registrant’s common stock reserved for future issuance upon the exercise of options outstanding under the 2002 Plan are calculated using a weighted average exercise price for such shares of $3.22 per share based on exercise prices for such shares ranging from $1.96 to $13.78 per share.
(4) Shares of common stock reserved for issuance under the 2011 EIP consist of (a) 3,927,000 shares of common stock initially available for future grants under the 2011 Plan plus (b) 196,077 shares of common stock previously reserved but unissued under the 2002 Plan that are now available for issuance under the 2011 EIP. To the extent outstanding awards under the 2002 Plan are forfeited or lapse unexercised and would otherwise have been returned to the share reserve under the 2002 Plan, the shares of common stock subject to such awards instead will be available for future issuance under the 2011 EIP. See footnote 2 above. The 2011 EIP also provides that an additional number of shares will automatically be added annually to the shares authorized for issuance under the 2011 EIP on January 1, from 2011 until 2021. The number of shares added each year will be equal to the lesser of: (a) 5% of the aggregate number of shares of the Registrant’s common stock outstanding on December 31 of the preceding calendar year; or (b) a number of shares of the Registrant’s common stock that may be determined each year by the Registrant’s board of directors that is less than (a).
(5) This estimate is made pursuant to Rule 457(h) of the Securities Act of 1933 solely for purposes of calculating the registration fee, and is based on 85% of the initial public offering price set forth on the cover page of the Registrant’s prospectus filed with the Securities and Exchange Commission on May 25, 2011 pursuant to Rule 424(b) under the Securities Act of 1933, as amended. Pursuant to the 2011 ESPP, which plan is incorporated by reference herein, the purchase price of the shares of common stock will be equal to the lesser of (i) 85% of the fair market value of our common stock on the first date of the offering period, or (ii) 85% of the fair market value of our common stock on the purchase date.
(6) The 2011 ESPP provides that an additional number of shares will automatically be added annually to the shares authorized for issuance under the 2011 ESPP on January 1, from 2011 until 2021. The number of shares added each year will be equal to the lesser of: (a) 1% of the aggregate number of shares of the Registrant’s common stock outstanding on December 31 of the preceding calendar year; or (b) a number of shares of the Registrant’s common stock that may be determined each year by the Registrant’s board of directors that is less than (a).
(7) This estimate is made pursuant to Rule 457(h) of the Securities Act of 1933 solely for purposes of calculating the registration fee, and is based on the initial public offering price set forth on the cover page of the Registrant’s prospectus filed with the Securities and Exchange Commission on May 25, 2011 pursuant to Rule 424(b) under the Securities Act of 1933, as amended.

The Registrant’s amended and restated certificate of incorporation and bylaws provide that the Registrant shall indemnify its officers and directors to the full extent permitted by applicable law. Section 145 of the Delaware General Corporation Law provides, in general, that each director and officer of a corporation may be indemnified against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred in connection with any threatened, pending or completed legal proceedings in which he or she is involved by reason of the fact that he or she is or was a director or officer, if he or she acted in food faith and in a manner that he or she reasonably believed to be in or not opposed to the best interests of the corporation, and, with respect to any criminal action or proceeding, if he or she had no reasonable cause to believe that his or her conduct was unlawful. If the legal proceeding, however, is by or in the right of the corporation, the director or officer may not be indemnified in respect of any claim, issue or matter as to which he or she has been adjudged to be liable to the corporation unless a court determines otherwise.

The Registrant also maintains insurance for officers and directors against certain liabilities, including liabilities under the Securities Act. The effect of this insurance is to indemnify any officer or director of the Registrant against expenses, including, without limitation, attorneys’ fees, judgments, fines and amounts paid in settlement, incurred by and officer or director upon a determination that such person acted in good faith. The premiums for such insurance are paid by the Registrant.

Pursuant to separate indemnification agreements with the Registrant, each officer and director of the Registrant is indemnified against all liabilities relating to his or her position as an officer or director of the Registrant, to the fullest extent permitted under applicable law.
