Item 1.01 | Entry into a Material Definitive Agreement. |
On March 18, 2010, CME Group Index Services LLC (CMEG Index Services), a subsidiary of CME Group Inc. (CME Group), completed its offering of $612.5 million aggregate principal amount of its 4.40% notes due 2018 (the Notes). The Notes were offered by CMEG Index Services in an unregistered offering pursuant to Rule 144A under the United States Securities Act of 1933, as amended (Securities Act) and to non-US persons pursuant to Regulation S under the Securities Act. The Notes are fully and unconditionally guaranteed by CME Group.
The Notes were issued under an indenture, dated March 18, 2010, (the Indenture), between CMEG Index Services, as issuer, CME Group, as guarantor, and U.S. Bank National Association, as trustee.
The Indenture governing the Notes contains covenants that limit CME Groups and its Significant Subsidiaries (as defined in the Indenture) ability to, among other things, incur certain liens securing indebtedness and engage in certain sale and leaseback transactions as well as CMEG Index Services and CME Groups ability to enter into certain consolidations, mergers, conveyances, transfers or leases of all or substantially all of their assets. Subject to certain limitations, in the event of the occurrence of both (1) a change in control of CME Group and (2) a downgrade of the Notes below investment grade rating by both Moodys Investor Services, Inc. and Standard & Poors Ratings Services within a specified time period, CMEG Index Services, as issuer, will be required to make an offer to purchase the Notes at a price equal to 101% of the principal amount of the Notes, plus accrued and unpaid interest to the date of repurchase. The repurchase upon a change of control is subject to CME Groups guarantee of the Notes.

U.S. Bank National Association has performed other services for CME Group from time to time, including serving as trustee for its outstanding public notes and as a lender under CME Groups existing debt facilities.
