Item 8.01 Other Events.

On June 14, 2006, a jury in the case of Security Title v. Linda Lorene Pope, et al. awarded damages in the amount of $41.3 million against First American Title Insurance Company, a subsidiary of the Registrant. This matter involved a breach of fiduciary duty claim. The judgment comprised a compensatory award of $6.3 million and a punitive damage award of $35.0 million. The Registrant believes it has strong grounds to overturn this judgment and will conduct a vigorous appeal. Pending the outcome of the appeal, the Registrant will take a charge to second quarter 2006 earnings. Subject to further review, the Registrant anticipates this charge will be approximately $25.0 million.
