On May 10, 2005, Lazard Ltd (the “Company”) consummated the initial public offering of its Class A common stock, par value $0.01 per share, and 6.625% equity security units, as well as the separation and recapitalization transactions related thereto, including Lazard Group LLC’s private placement of 7.125% Senior Notes due 2015 and the redemption of the historical partner interests as described in the Company’s Forms S-1, as amended (File Nos. 333-121407 and 333-123463).
