Item 2.02 Results of Operations and Financial Condition.
On May 5, 2005, CellStar Corporation (the Company) issued a press release announcing, among other things, preliminary results of operations for the fourth quarter of 2004 and the first quarter of 2005 and the matters discussed under Item 4.02 below. The press release is included as Exhibit 99.1 to this current report on Form 8-K and is incorporated by reference herein.
Item 4.02 Non-Reliance on Previously Issued Financial Statements.
On May 4, 2005, management and the Audit Committee of the Company, after consultation with Grant Thornton LLP, the Companys current independent auditor, and KPMG LLP, the Companys former independent auditor, concluded that, as a result of accounting issues related to certain accounts receivable and revenues in its Asia Pacific Region, the Company will be required to restate its previously reported financial results and that the financial statements contained in the Companys Annual Reports on Form 10-K for the years ended November 30, 2001, 2002, and 2003, the Companys Quarterly Reports on Form 10-Q for the quarters ended in those periods, and for the quarters ended February 29, May 31 and August 31, 2004, should no longer be relied upon.
The accounting issues mentioned above primarily focus on three areas: (1) provision for sales returns; (2) provision for credits granted to customers; and (3) deferral of revenue. For a more detailed discussion of these issues along with a discussion of the Companys announcement of the intended adjustment to the Companys previously reported financial results, please refer to the press release attached hereto as Exhibit 99.1, which is incorporated by reference herein.
