its wholly-owned subsidiary, Kinam Magadan Gold Corporation, had entered
into a
Memorandum of Understanding with OAO Polymetal under which Polymetal had
agreed
to purchase all of the shares held by Kinam Magadan in OAO Omolon Gold Mining
Company.
