Item 8.01. Other Events
On March 10, 2010, VeriFone Holdings, Inc. (the "Company") filed notice with the Tel-Aviv Stock Exchange ("TASE") to voluntarily delist its common stock from the TASE in order to reduce duplicative administrative requirements and costs associated with maintaining dual listing on the TASE and the New York Stock Exchange ("NYSE"). The Company does not believe that delisting from the TASE will have any impact on the liquidity of its stock. The Company's common stock will continue to be listed on the NYSE under the symbol PAY.The Company expects that the delisting will become effective as of the close of trading on the TASE on July 15, 2010.
