The Registrant's Form 10-K, for the fiscal year ended December
31, 2006, could not be filed within the prescribed time period because
certain information and data relating to and necessary for the
completion of the Registrant's financial statements and management's
discussion and analysis of financial condition and results of
operations could not be obtained by within such time period without
unreasonable effort or expense.

PART IV - OTHER INFORMATION
(3) EXPLANATION OF ANTICIPATED CHANGE
The Registrant expects to report revenues of approximately $48.0 million to
$49.0 million for the calendar year ended December 31, 2006, compared to $47.3
million in revenue reported for calendar year 2005. For the calendar year ended
December 31, 2006, the Registrant expects to report a net income between
approximately $250,000 and $310,000, compared to a net loss of $29.5 million for
2005.
