ITEM 2.02 RESULTS OF OPERATION AND FINANCIAL CONDITION.

On June 6, 2007, Glowpoint, Inc. (the “Company”) issued a press release announcing the filing of its 2006 annual report on Form 10-K. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.
