Item 4.01 Changes in Registrants Certifying Accountant.
(a) Dismissal of Independent Accountant
The Audit Committee (the Audit Committee) of the Board of Directors of Telaria, Inc. (the Company) recently conducted a competitive process to determine the Companys independent registered public accounting firm for the year ending December 31, 2019. As a result of this process and following careful deliberation, on March 28, 2019, the Company dismissed Ernst & Young LLP (EY) as the Companys independent registered public accounting firm.
The reports of EY on the Companys consolidated financial statements as of and for the years ended December 31, 2018 and 2017 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope or accounting principles.
During the Companys two most recent fiscal years, there were no disagreements (within the meaning of Item 304(a)(1)(iv) of Regulation S-K) with EY on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to EYs satisfaction, would have caused EY to make reference to the subject matter thereof in connection with its reports for such years; and, no reportable events (as such term is defined in Item 304(a)(1)(v) of Regulation S-K).
The Company provided EY with a copy of the foregoing disclosures and requested from EY a letter addressed to the Securities and Exchange Commission stating whether it agrees with the above statements. A copy of EYs letter dated April 2, 2019 is attached as Exhibit 16.1.
(b) Engagement of Independent Accountant
On March 27, 2019, the Audit Committee selected BDO USA, LLP (BDO) as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2019.
During the Companys two most recent fiscal years and the subsequent interim period preceding BDOs selection, neither the Company nor anyone on its behalf consulted with BDO with respect to the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Companys consolidated financial statements, or any other matters set forth in Item 304(a)(2)(i) or 304(a)(2)(ii) of Regulation S-K.
