Item 8.01. Other Events

 

As previously disclosed in the Current Report on Form 8-K filed on March 16, 2016, by Coherent, Inc. (the “Company”), on March 16, 2016, the Company, and its newly formed , wholly owned subsidiary, Rembrandt Merger Sub Corp., a Delaware corporation (“Merger Sub”), entered into a Merger Agreement (the “Merger Agreement”) with Rofin-Sinar Technologies Inc., a Delaware corporation (“RSTI”), providing for the merger of Merger Sub with and into RSTI (the “Merger”) with RSTI surviving the Merger as a wholly owned subsidiary of the Company, subject to the terms and conditions set forth in the Merger Agreement.

 

On March 17, 2016, the Company distributed a letter to RSTI’s employees (the “Employee Letter”) in connection with the Merger. A copy of the Employee Letter is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
