(b)           On December 31, 2012 (i) Bhargav Shah joined Overstock.com, Inc. (the “Company”) as Senior Vice President, Technology, and (ii) Samuel J. Peterson, who held the position of Senior Vice President, Technology for the Company, resigned the position and accepted employment with another company.  Mr. Peterson will continue working with the Company during a transition period.  As of December 31, 2012, all responsibilities of the Senior Vice President of Technology for the Company have been transferred to Mr. Shah.

 

A copy of the press release issued by the Company on January 2, 2013 regarding this change is attached as Exhibit 99.1.
