Item 8.01               Other Events.

 

On April 5, 2010 Overstock.com, Inc. (the “Company”) issued a press release announcing that the Company had received a letter from the Nasdaq Stock Market confirming that by filing its amended Quarterly Report on Form 10-Q/A for the quarter ended September 30, 2009 on March 31, 2010, the Company had cured its noncompliance with Nasdaq’s listing rules previously reported in the Company’s Report on Form 8-K filed on November 20, 2009.  A copy of the press release is included as Exhibit 99.1 to this Report on Form 8-K.
