Item 5.02                                             Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On March 9, 2007 the Board of Directors of Overstock.com, Inc. (the “Company”) appointed Mr. Barclay F. (Clay) Corbus to the Company’s Board of Directors.  Mr. Corbus has also been appointed to serve on the Audit Committee.

Mr. Corbus is Co-CEO of WR Hambrecht + Co., an investment banking firm that has performed services for the Company from time to time.  During 2006, WR Hambrecht + Co. served as placement agent on a best-efforts basis for a registered direct offering of the Company’s common stock for $40 million, for which the Company paid WR Hambrecht + Co. $400,000.  Mr. Corbus has informed the Company that, as Co-CEO of WR Hambrecht + Co., his salary is based on the firm’s revenues, but that the dollar amount attributable to the fees WR Hambrecht received from the Company is not determinable.  Consequently, Mr. Corbus had a direct or indirect interest in the work WR Hambrecht + Co. performed for the Company.  WR Hambrecht + Co. has not been compensated in 2007 for any services rendered to the Company.

As a director, Mr. Corbus will be paid a quarterly fee of $5,000, and with other members of the Board of Directors will likely receive periodic grants of stock options under the Company’s 2005 Equity Incentive Plan.  The Company also has entered into or intends to enter into an indemnification agreement in customary form with Mr. Corbus, as it has done with each of its other directors.
