Item 8.01. Other Events.

 

On March 13, 2006, HRPT Properties Trust (the “Company”) agreed to sell $400,000,000 aggregate principal amount of its Floating Rate Senior Notes due 2011 (the “Notes”) in an underwritten public offering. The Notes are expected to be issued on March 16, 2006 under a supplemental indenture (the “Supplemental Indenture”) to the Company’s indenture dated July 9, 1997 (the “Indenture”). The Notes will bear interest at a floating rate, reset quarterly, equal to 3-Month LIBOR plus ..60% per annum. Interest will be payable on the Notes in arrears on March 16, June 16, September 16 and December 16 beginning on June 16, 2006. The Notes will be senior unsecured obligations of the Company and will have substantially the same covenants as the Company’s 5 3/4% Senior Notes due November 1, 2015 issued under the Indenture. The Company intends to use the estimated $398.3 million net proceeds of this offering to prepay all $350.0 million outstanding on its bank term loan and to reduce a portion of the approximately $562.0 million outstanding under its revolving credit facility. A prospectus supplement relating to the Notes will be filed with the Securities and Exchange Commission.
