Item 8.01 Other Information
 
On October 17, 2005, we announced the expiration of our right-of-way agreement across lands held by the United States in trust for the Navajo Nation. On January 17, 2006, we announced an agreement between El Paso Natural Gas Company and the Navajo Nation extending the rights-of-way from October 17, 2005, to December 31, 2006.  This agreement enables the parties to continue negotiations on a long-term renewal of the consent agreements.  A copy of the press release announcing the agreement is attached as Exhibit 99.A.

Approximately 900 miles of the northern mainline of our pipeline system traverse lands held in trust by the United States for the Navajo Nation. Those lands are the subject of various right-of-way agreements between us and the United States, with the consent of the Navajo Nation.
 
The agreement announced today ensures that there will be no interruption in service on our northern mainline system as we continue to negotiate in good faith with the Navajo Nation.
