ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

     On August 10, 2007, the Company’s Senior Vice President, General Counsel and Corporate Secretary, Freya Brier, was placed on administrative leave pending resolution of a dispute under her Severance Agreement, dated November 7, 2002, involving whether a constructive termination has occurred in anticipation of a change in control. A copy of the Severance Agreement is filed as Exhibit 10.23 to the Company’s Form 10-K for the year ended December 28, 2002.
